Overview

Global Common LLC develops, owns and operates biomass powered renewable energy projects and is currently focusing on biomass pellet projects.  The Company intends to build, own and operate a portfolio of biomass pellet facilities with a total capacity of approximately one million short tons per year by 2015.  Initially, the Company expects to sell the pellets to the European industrial and utility markets and in future years, as the United States adopts carbon management initiatives, Global Common will sell pellets to domestic utility and retail markets.  Global Common intends to sell the company to a financial or strategic investor within five to seven years.

Biomass Pellet Projects
Global Common is currently developing two greenfield pellet projects in northeast Florida, and is conducting due diligence on a potential acquisition target that produces 80,000 tons per year.  The greenfield projects will have a combined capacity of approximately 300,000 tons per year.  These projects will be located near Southern Yellow Pine plantations, within 60 miles of the Port of Jacksonville.  Total project cost for the first greenfield project is approximately $30 million.  The Company expects to sell bonds to finance 65% to 75% of the project, and utilize equity to fund the remainder of the project.

El Nido and Chowchilla, California Biomass Power Plants

Global Common acquired two out-of-service 12.5 MW wood fired power plants in Central California, and completed development tasks needed to finance refurbishment of the facilities.  The Company negotiated key development agreements, including asset purchase agreements, two 15 year power purchase agreements with PG&E, long-term biomass supply agreements, and a ground lease.  Global Common also negotiated complex air, water, waste water and land use permits with state and local authorities.  Global Common sold its development rights prior to construction. The plants have commenced operations.

Cayuga County, NY Dairy Farms
Global Common is developing a large biogas project in Cayuga County, NY.  The project involves conversion of manure from several large dairy farms to biogas.  Nutrients from the digesters will be returned to the farmers, as needed.  Any excess nutrients that are not needed by the farms will be sold commercially.

Global Common has executed definitive agreements with the dairy farmers that give Global Common the right to use all the manure from the farms for the next 20 years at no net cost and no capital outlay for the farmers.  Global Common is in the process of discussing a long-term gas supply agreement with an energy marketer.  Total project costs will be about $14 million.  The project has been awarded a $1.0 million grant from the New York State Energy Research and Development Agency.  Commercial operation is targeted for the end of 2010.

Greenport, NY Peaking Plant
Global Common recently developed a 54MW simple cycle project in Greenport, LI, New York.  The facility sells the power to the Long Island Power Authority (LIPA) under a long-term power purchase agreement (PPA).  Global Common obtained all environmental permits on a fast-track basis.  The project began in September 2002; LIPA issued a negative declaration in January 2003, and the NY Department of Environmental Conservation issued the final air permit in February 2003, a record time for a project of this type in New York State.  Global Common also negotiated all key project documents, including the PPA, and the Engineering, Procurement and Construction contract, and a ground lease with the Village of Greenport.
